Service & Payment Policy

This Service & Payment Policy outlines the terms governing commercial engagements with NAMina Bio Corp. (“NAMina Bio,” “we,” “us,” or “our”).

1. Scope of Services

NAMina Bio provides scientific and strategic services, including but not limited to:

  • Experimental design and translational program development

  • Advanced in vitro modeling (e.g., organoids, 3D bioprinting, microphysiological systems)

  • Data analysis and interpretation

  • Platform integration and pilot studies

All services are customized and project-specific.

The exact scope, deliverables, timelines, and pricing are defined in formal written agreements, such as:

  • Proposals

  • Statements of Work (SOW)

  • Master Service Agreements (MSA)

  • Pilot agreements

2. Proposal and Acceptance

Quotes and proposals provided by NAMina Bio:

  • Are non-binding until formally accepted

  • May include defined milestones, timelines, and deliverables

Work begins only after:

  • Written acceptance of the proposal or agreement

  • Completion of any required onboarding steps (e.g., NDA, data access, sample logistics)

3. Payment Terms

Unless otherwise specified in writing:

  • Payments may be structured as:

    • Upfront fees

    • Milestone-based payments

    • Retainers or pilot program fees

  • Invoices are payable within [e.g., 15 or 30 days] from the issue date

  • Late payments may result in:

    • Suspension of work

    • Delays in deliverables

4. Non-Refundable Work

Due to the custom and scientific nature of our services:

  • Fees are generally non-refundable once work has commenced

  • This includes:

    • Experimental design and planning

    • Resource allocation and setup

    • Data generation and analysis

    • Partner coordination and integration

Partial refunds, if any, are:

  • Evaluated on a case-by-case basis

  • Limited to work not yet performed

5. Changes in Scope

Any modification to the agreed scope (e.g., additional experiments, extended timelines, new endpoints):

  • Must be mutually agreed in writing

  • May result in revised pricing and timelines

NAMina Bio is not obligated to proceed with out-of-scope work without formal approval.

6. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information

  • Ensuring proper authorization for data or materials shared

  • Complying with applicable regulations and ethical requirements

Delays caused by missing or incomplete inputs may affect timelines and costs.

7. Data and Deliverables

All deliverables are defined within the applicable agreement.

  • Preliminary, draft, or exploratory outputs may be subject to revision

  • Final deliverables are provided upon fulfillment of payment obligations

Use of data beyond the agreed scope requires:

  • Explicit written authorization

  • Applicable data use agreements (DUAs), where relevant

8. Cancellation

Projects may be canceled:

  • By mutual written agreement, or

  • Under conditions defined in the governing contract

In case of cancellation:

  • Clients remain responsible for payment of work already performed

  • Any prepaid but unused portion may be evaluated for partial credit (not guaranteed)

9. No Guarantee of Outcome

Due to the nature of scientific research:

  • NAMina Bio does not guarantee specific experimental, clinical, or commercial outcomes

  • Results may vary based on biological variability, model limitations, and external factors

10. Governing Agreements

In the event of any conflict between this Policy and a signed agreement (e.g., MSA, SOW):

The signed agreement takes precedence
